“The October meeting is not a vote to determine whether or not Riot should buy Bitfarms… It is a meeting to vote on whether or not Bitfarms should appoint three directors that Riot has nominated to the Bitfarms Board... So what does that mean for shareholders? That means that if you would like Bitfarms to remain independent and you are a Bitfarms shareholder [as of Sept. 26th Record Date], you are entitled to vote at that October meeting.”
He also reiterates Bitfarms' commitment to strong corporate governance, as demonstrated by our recent board changes. These include the addition of Fanny Philip, CEO Ben Gagnon, and the appointment of Lead Director Brian Howlett as independent Chairman, replacing Founder and former Chairman Nicolas Bonta, who stepped down. The Board is comprised of five directors, four of whom are independent.
